Acceptance of these terms
By accessing or using Rapid Hub, you agree to these Terms and any additional guidelines, policies, or service-specific notices that apply to the features you use.
If you are using Rapid Hub on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
The service
Rapid Hub provides software tools for invoicing, customer records, business profile management, billing workflows, and optional integrations with third-party services.
We may add, modify, suspend, or retire features over time. We may also change limits, availability, or pricing for any plan or feature with notice where required by law.
Unless we say otherwise in a separate written agreement, any beta, preview, or experimental feature is provided as-is and may change or be discontinued at any time.
Account responsibilities
You are responsible for the accuracy of information you enter into Rapid Hub, including customer details, invoice amounts, tax settings, payment terms, and business records.
You are responsible for maintaining the confidentiality of your login credentials, API keys, payment provider credentials, and access to any connected third-party account.
You must promptly notify us if you believe your account or an integration has been compromised.
Privacy and data processing
Your use of Rapid Hub is also governed by our Privacy Policy, which explains how we collect, use, store, and share information.
By using the service, you acknowledge that we may process account data, customer data, invoice data, communications data, and integration data as described in that policy.
Data retention and deletion
We may retain account data, business records, invoice data, communication records, integration logs, and related service data for as long as necessary to provide the service, comply with legal obligations, resolve disputes, prevent abuse, and maintain backups.
Platform chat history, message records, media files, attachments, and similar communication data may only be available for a limited period. Media files and chat-related files associated with inactive workspaces may be deleted after six months of inactivity.
Certain configuration data, workflows, business records, invoices, and account settings may remain available unless the account or workspace is deleted, suspended, or terminated, subject to applicable law and our internal retention practices.
Deleted data may not be recoverable, and backup copies may remain for a limited period before being permanently removed.
Payments and integrations
If you connect Stripe, Razorpay, Google, Gmail, Zoho Mail, or any other supported integration, you authorize Rapid Hub to exchange data with those services for the purpose of enabling the integration.
Payment statuses may be updated automatically using provider callbacks, webhooks, or similar event notifications. You remain responsible for reviewing records and reconciling any discrepancies.
Third-party services operate under their own terms and policies, and we are not responsible for their outages, policy changes, rate limits, or data handling practices.
Pricing, billing, taxes, refunds, and plan access
We may offer free and paid plans, trials, feature gates, seat-based pricing, usage-based pricing, subscription renewals, one-time charges, and enterprise agreements.
We may suspend, limit, or revoke access to paid features if fees are not paid, a charge is reversed, an invoice remains outstanding, or fraud or misuse is suspected.
Pricing, plan entitlements, upgrade rules, billing cadence, and any plan-specific terms will be governed by the current product page, order form, invoice, checkout flow, or written agreement that applies to your account.
Unless a separate written agreement or applicable law says otherwise, fees are non-refundable.
You are responsible for applicable taxes, duties, and government charges related to your use of the service, unless we state otherwise in writing.
Acceptable use
You may not use Rapid Hub to violate law, infringe the rights of others, distribute malware, probe or disrupt the service, or attempt unauthorized access to accounts or integrations.
You may not use the service to submit unlawful, deceptive, or harmful content, or to store data that you do not have the right to process.
When using messaging features such as Hub Chat, you are responsible for the content you send and must not transmit unlawful, abusive, harassing, infringing, or otherwise harmful messages. We may review, restrict, or remove communications content and suspend access where we reasonably believe these Terms have been violated.
We may suspend or terminate access if we reasonably believe the service is being misused or poses a risk to us, our users, or third parties.
Intellectual property
We and our licensors retain all rights, title, and interest in the Rapid Hub software, branding, templates, designs, and related intellectual property.
You retain ownership of the content and data you upload or create in your account, subject to the rights you grant us to host, process, display, and transmit that content to provide the service.
You may use the service only as permitted by these Terms and any applicable documentation or plan limits.
Communications compliance
If you use Rapid Hub to send email, chat messages, notifications, broadcasts, or other communications, you are responsible for obtaining the consents and rights required by law and by the applicable third-party provider.
We are not responsible for delivery failures, blocking, account restrictions, template rejections, or enforcement actions taken by a third-party provider based on your content, configuration, or usage.
AI and automated features
Some features of Rapid Hub may use artificial intelligence, automation, or third-party AI services to generate, summarize, classify, or process content.
AI-generated or automated outputs may be inaccurate, incomplete, outdated, or unsuitable for your specific use case. You are responsible for reviewing, verifying, and approving any AI-generated or automated output before relying on it, sending it to customers, or using it for business, legal, tax, accounting, or financial purposes.
We do not guarantee the accuracy, suitability, or reliability of AI-generated or automated outputs.
Service availability and support
We may perform maintenance, updates, security fixes, or emergency changes that temporarily affect availability.
We do not guarantee uninterrupted access, specific uptime, or permanent availability of any feature unless a separate written agreement says otherwise.
Disclaimers
To the fullest extent permitted by law, the service is provided on an as-is and as-available basis without warranties of any kind, whether express, implied, statutory, or otherwise.
We do not warrant that the service will be uninterrupted, error-free, secure against all threats, or compatible with every third-party platform, payment provider, browser, or device.
Rapid Hub is a software tool and not a substitute for legal, tax, accounting, financial, or other professional advice.
You acknowledge that operational decisions, invoices, taxes, payment workflows, and compliance obligations remain your responsibility, including any review you choose to perform before relying on the service output.
Limitation of liability
To the fullest extent permitted by law, Rapid Hub and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from your use of the service.
Our total aggregate liability for claims relating to the service will not exceed the greater of the amounts you paid to use the service during the twelve months before the event giving rise to the claim or one hundred U.S. dollars, unless applicable law requires a different limit.
This limitation applies even if we have been advised of the possibility of the damage or if the limited remedy fails of its essential purpose, to the maximum extent permitted by law.
Suspension and termination
We may suspend or terminate your access immediately if we reasonably believe you breached these Terms, created a security or legal risk, or used the service in a way that could harm us, our users, or a third party.
You may stop using the service at any time, and you may delete your account where that option is available in the product.
Changes to these terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date.
Your continued use of the service after an update becomes effective means you accept the revised Terms.
Governing law and venue
Unless a separate written agreement states otherwise, these Terms will be governed by the laws of India, without regard to conflict of law principles.
Subject to applicable law, any dispute that cannot be resolved informally may be brought in the courts of competent jurisdiction in India.
Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce a provision is not a waiver of that provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, reorganization, or sale of assets.
Force majeure events, including outages, labor disputes, acts of government, supply disruptions, network failures, or other events outside our reasonable control, may delay or prevent performance without liability to the extent permitted by law.
These Terms, together with any applicable order form, invoice, policy, or product-specific notice, form the entire agreement between you and us regarding the service.
If a conflict exists between these Terms and a separate signed agreement, the separate signed agreement controls for that conflict.
